Annual renewal fees and applicable Taxes shall be automatically billed in advance to the credit card on file with NDC. NDC reserves the right to modify the annual fee upon any renewal term without notice to you provided such modification is less than or equal to ten percent (10%) of the price for Services for the immediately preceding term. Further, NDC reserves the right to bill your credit card without notice to you upon a change in applicable Taxes. 5. If charges are dishonored or rejected by your credit card issuer for any reason, or NDC is otherwise unable to process any debit to your credit card account, NDC has the right to immediately suspend Services to you without notice until alternative payment arrangements are made. 6. If you wish to terminate Services, please notify NDC's Customer Service Department in writing at 8911 Balboa Avenue, San Diego, CA 92123. You will not be entitled to a refund for any pre-paid fees for Services charged to your account in the event of cancellation of Services before the end of any annual term. 3 © 1999 Directed Electronics, Inc. 7. Inquiries regarding Services, such as billing questions or coverage regions, should be directed to NDC's Customer Service Department at (619) 505-4333 between 6 a. m. [. . . ] Should NDC or any supplier of services to NDC be found grossly negligent, their liability shall not exceed the lesser of $500 or the value of the annual charges for the interrupted Services. In the event you fail to perform any term, covenant or condition of this Contract, NDC may, at its option, at any time terminate this Contract, and/or demand and recover from you all charges then due and owing. All remedies of NDC hereunder are cumulative, are in addition to any other remedies provided for by law, and may, to the extent permitted by law, be exercised concurrently or separately. The exercise of any one remedy shall not be deemed an election of such remedy or to preclude the exercise of any other remedy. No failure on the part of NDC to exercise and no delay in exercising any right or remedy shall operate as a waiver thereof or modify these terms and conditions. Contact NDC's Customer Service Department in the event you sell your car or otherwise desire to transfer the Services. This Contract shall be governed by the laws of the State of California, excluding its conflict of laws provisions. Any suit with respect to the Services shall be brought in the Superior Court of the County of San Diego, State of California. Each party waives, insofar as permitted by law, trial by jury in any action between the parties. This Contract shall be binding upon the parties, their successors, legal representatives and assigns. Notice shall be deemed effective on the day of actual delivery as shown by the addressee's return receipt or the expiration of three (3) business days after the date of mailing, whichever is the earlier in time. This Contract contains the entire agreement between the parties and may not be altered, amended, modified or otherwise changed except in writing signed by you and an authorized representative of NDC. Service Activation Before you begin using the Valet® Car5ComTM, you must activate your Valet® Car5ComTM System Services by calling the Activation Center at (888) 313-2390 between the hours of 6 a. m. (PST), with the following information: s s s s s Eight-digit Personal Identification Number (PIN), located on the Quick Reference Card Credit card (American Express, Visa, or MasterCard) Home telephone number, including area code Home postal ZIP code A four-digit security code of your choice With this call, you will set up your account, establish your security code, and activate services. Customer Service For customer service assistance, please call (888) 565-4866, or (619) 505-4333 from a pay phone, from 6 a. m. (PST). Fees Fees for the Valet® Car5ComTM System Services include a one-time activation fee of $20 and an annual fee of $24. A total of $44, plus applicable taxes, will be charged to your credit card account for the first year, upon activation of service. All Valet® Car5ComTM calls are toll free within the United States (pay phones excluded). © 1999 Directed Electronics, Inc. 9 Regional Service Coverage Areas Your system will be activated for the region that includes your home state, indicated on the Regional Service Coverage Areas map below. If you require service in another region, contact customer service during normal business hours. Using Your System With the Valet® Car5ComTM, remotely operating your vehicle's features can be as easy as making a phone call. The Valet® Car5ComTM can be activated worldwide from any touch-tone, airline or cellular phone to control such features as vehicle door locking or unlocking, starter kill, honking the horn, or flashing the parking lights. This command will also disable the security system and activate Valet® Mode if the system is already armed. [. . . ] It houses the microprocessor that controls all of your system's functions. Starter Kill: An automatic switch controlled by the system which prevents the vehicle's starter from cranking whenever it is activated. The vehicle is never prevented from cranking when the system is disarmed, in Valet® Mode, or should the starter kill switch itself fail. Trigger or Triggered Sequence: This is what happens when the alarm of a DEI compatible security system "goes off". [. . . ]
